Joint-Venture Governance Framework

1. Purpose & Scope

This Joint-Venture Governance Framework applies to all strategic partnerships, revenue-share arrangements, and co-managed commercial relationships entered into by Stratum Scaling and its operating partners. It establishes the principles, roles, and controls that govern how we collaborate with third-party operators, brands, and asset owners.

2. Structural Independence

Each partner retains full legal and beneficial ownership of its underlying accounts, assets, and intellectual property. Stratum Scaling acts as a service provider and operational partner, not as a controlling entity, custodian, or fiduciary. All commercial relationships are documented through written agreements that specify scope, economics, responsibilities, and termination rights.

3. Operational Controls

All access to third-party software, payment processors, dashboards, and operational tools is granted through restricted, role-based permissions (e.g., Developer, Analyst, or equivalent read-only/limited-access roles). We do not accept full-admin credentials, ownership transfers, or two-factor authentication codes. Access is reviewed regularly and revoked upon termination or change in scope.

4. Financial Transparency

Revenue calculations, fee structures, and payout schedules are defined in each partner agreement and reconciled against source-system data. Partners retain visibility into transaction activity through their own platform accounts and receive regular reporting from our operations team. We do not commingle partner funds or act as a money-transmitter.

5. Compliance & Risk Management

Partnerships are subject to eligibility verification, account-health monitoring, and compliance with applicable laws and the terms of service of all integrated platforms. We reserve the right to suspend or terminate any arrangement that presents undue legal, reputational, or operational risk.

6. Dispute Resolution

Disputes arising from a joint-venture or partnership agreement shall first be addressed through direct escalation between the designated relationship managers. If unresolved, disputes may be mediated under the governing law specified in the applicable agreement, typically the State of Florida, United States.
